These Terms of Service ("Terms") govern your access to and use of the PNSIQ platform, website, and related services (collectively, the "Services") provided by Sabian Solutions LLC ("PNSIQ," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, do not use the Services.
PNSIQ provides a decision-intelligence platform for wholesale apparel brands. The Services include analysis of order data, chargeback management tools, account intelligence, and related AI-assisted outputs. The specific features available to you depend on your subscription tier.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
Access to the Services requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis as selected at signup. All fees are non-refundable except as required by law or as explicitly stated in your order agreement.
We may change subscription pricing with 30 days advance written notice. Continued use of the Services after the price change takes effect constitutes acceptance of the new pricing.
Overdue invoices may result in suspension of access. We are not liable for any loss resulting from suspended access due to non-payment.
You retain full ownership of all data, records, and content you upload to or generate through the Services ("Customer Data"). You grant PNSIQ a limited, non-exclusive license to access, process, and use Customer Data solely to provide and improve the Services.
You represent and warrant that you have all rights, permissions, and consents necessary to provide Customer Data to PNSIQ and to authorize its processing as described in these Terms and our Privacy Policy.
We implement reasonable technical and organizational measures to protect Customer Data. See our Privacy Policy for details.
The Services use artificial intelligence to generate analyses, recommendations, dispute letters, account briefs, and other outputs ("AI Outputs"). You acknowledge that:

PNSIQ and its licensors own all rights, title, and interest in the Services, including all software, algorithms, models, designs, and documentation. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services as described herein.
You retain ownership of your Customer Data. AI Outputs derived from your Customer Data are owned by you upon generation, subject to PNSIQ's rights to the underlying models and methods.
Each party agrees to keep confidential the other party's non-public information disclosed in connection with the Services, and to use such information only to fulfill obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PNSIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, PNSIQ'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL PNSIQ BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF BUSINESS OPPORTUNITY.
You agree to indemnify, defend, and hold harmless PNSIQ and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.
These Terms remain in effect while you have an active subscription. Either party may terminate the subscription with 30 days written notice. We may terminate immediately for material breach of these Terms, including non-payment or violation of the acceptable use policy.
Upon termination, your access to the Services will cease. We will make Customer Data available for export for 30 days following termination, after which it will be deleted pursuant to our Privacy Policy.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. The arbitration shall take place in Delaware.
We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect via email or prominent notice on the platform. Your continued use of the Services after that date constitutes acceptance.
